CLG

Company limited by guarantee

The usual structure for charities, clubs and not-for-profits: members guarantee a set amount instead of buying shares.

Built for not-for-profits

A CLG has members rather than shareholders. Each member guarantees to contribute a set amount if the company is wound up, which keeps their liability small and certain. Its constitution sets out its objects.

A company formed for charitable purposes also needs to register with the Charities Regulator before it operates as a charity.

Directors and secretary

A CLG needs at least two directors and a secretary. At least one director of an Irish company must live in the European Economic Area. The test is where they live, not their nationality, and a director living in the UK no longer counts.

The name

The name ends in “Company Limited by Guarantee” or “CLG”, or the Irish equivalent.
