Company limited by guarantee
Company limited by guarantee
The usual structure for charities, clubs and not-for-profits. Constitution with a guarantee clause, prepared and filed with the CRO.
What we do
- Name check against the CRO register
- Form A1 prepared and filed on CORE
- Constitution with guarantee clause
- Digital certificate and documents
Members, not shareholders
A CLG’s members promise to contribute a set amount if it is ever wound up, instead of buying shares. We include the guarantee clause and your objects in the constitution.
A CLG needs at least two directors and a secretary.
What you’ll need
- The company name and a short description of what the company will do
- For each director and the secretary: full name, date of birth, residential address, nationality, occupation and a PPSN or IPN
- For each shareholder: name, address and the shares they will take
- An Irish registered office address from the day the company is formed
How we file
We prepare your Form A1 and constitution from your answers. You review and sign them, a person here checks the whole application, and we file it with the Companies Registration Office on CORE. When the CRO registers the company, your certificate of incorporation and documents appear in your account.
FAQ
About this package
Something else? Ask us directly.
Are the CRO’s fees included in the package price?
No. Package prices are our fee. The CRO’s own fee is added as a separate line at checkout and paid to the CRO when we file.
Can I add services later?
Yes. You can add services such as RBO filing or tax registration when you order, and most can be added after your company is formed. Contact us if you already have a company.
Which package do I need if none of my directors lives in the EEA?
At least one director of an Irish company must live in the European Economic Area. The test is where they live, not their nationality, and a director living in the UK no longer counts.
If that applies to you, read forming as a non-EEA resident for the three ways to meet the rule.
What do I receive when the company is registered?
Your certificate of incorporation, your constitution and copies of what we filed, all in your account. We also set out the next steps: the RBO filing and registering with Revenue.
Start with the name.
Check your company name against the CRO register now, then form your company when you’re ready.
