Terms of service

Last updated: 28 October 2026

These terms apply when you use this website or buy any of our services. Please read them before you order. If you are a consumer, nothing in these terms takes away your rights under Irish consumer law.

1. About us

Abbformation is a company formation service. In these terms, "we", "us" and "our" mean the company that runs it.

We are an independent company formation agent. We are not the Companies Registration Office (CRO) and are not affiliated with it.

2. Words we use

  • "You" means the person or business that places an order.
  • "Consumer" means an individual acting wholly or mainly outside their trade, business, craft or profession. If you are an individual ordering in your own name, we treat you as a consumer unless you tell us you are acting for an existing business.
  • "Business customer" means anyone who is not a consumer.
  • "CRO" means the Companies Registration Office, and "CORE" its online filing system.
  • "Annual service" means a service we provide for a year at a time: registered office, company secretary and nominee director services.

3. Our services

3.1 Depending on what you order, we will:

  • check your proposed company name and prepare your Form A1 and constitution from your answers;
  • have a person here review your application, then file it with the CRO on CORE once you have signed;
  • prepare and file later forms, such as annual returns (Form B1) and changes of registered office, officers or addresses;
  • help with RBO filings, Revenue registration (Form TR2), business names and IPN applications;
  • provide a registered office address, a company secretary or a nominee EEA-resident director, or arrange a Section 137 bond.

3.2 The description of each service on our website, including what is and is not included, forms part of our contract.

3.3 We prepare and file documents on your instructions. We are not a law firm or an accountancy firm and we do not give legal, tax or accounting advice unless a service expressly includes it. Our standard constitutions suit most companies but may not suit yours; take advice if you have special needs. Our guides are general information only.

3.4 Timescales we give are estimates. The CRO, Revenue and other bodies set their own processing times, which we cannot control.

4. Your account and your order

4.1 You must be 18 or over to open an account or order.

4.2 Keep your sign-in details safe. You are responsible for what is done through your account. Tell us straight away if you think someone else has used it.

4.3 Your order is an offer to buy. A contract is formed when we confirm your order by email. We may decline an order, for example if we cannot complete our checks or we find a pricing error. If we decline after taking payment, we refund you in full.

4.4 To help you with a problem, a member of our staff may sign in to your account and see it as you do. They must record a reason, the session ends after 30 minutes at most, every session is logged, and they cannot make payments or change your sign-in, security or email details. You can ask us not to do this.

5. Prices and payment

5.1 Before you pay, we show our fee, any CRO or other official fee, and VAT as separate lines, and the total you will pay. Official fees are paid to the body that charges them and are outside the scope of VAT.

5.2 Payments are taken by Stripe. We never see or store your full card details. We do not take any payment automatically.

5.3 CRO late filing fees. If an annual return will be late, the CRO charges a late fee that grows each day. We charge it at cost, estimated for a few days after you pay, because the CRO takes it when we create your filing. If the CRO takes less, we refund the difference automatically. If it takes more, for example because you paid long before we could file, we ask you to pay the difference before we file.

5.4 Once we have filed a document and the CRO or another body has taken its fee, we cannot recover it, so that fee is not refundable unless the body refunds it to us.

5.5 Refunds are paid through Stripe to the card or account you paid with, and we send you a credit note.

6. Information you give us

6.1 You must give us complete, accurate and up-to-date information, including names, addresses, dates of birth, PPSNs or IPNs, shareholdings and beneficial owners. You must have the permission of every person whose details you give us, and show them our privacy notice.

6.2 You review and sign the documents we prepare before we file them. You are responsible for their content. Giving false or misleading information to the CRO is an offence under the Companies Act 2014.

6.3 Reply to our questions within a reasonable time. If you do not, we may not be able to complete the service (see clause 12).

7. Company law requirements

7.1 Under the Companies Act 2014, among other things:

  • at least one director must live in the European Economic Area, unless the company holds a Section 137 bond or a Revenue certificate under section 140;
  • every company needs a secretary, who must be someone other than a sole director;
  • every company must have a registered office in Ireland;
  • each director and the secretary must give a PPSN, or an IPN obtained from the CRO, on Form A1.

7.2 The CRO can query or reject documents, refuse a name and strike off companies that do not file. Those are its decisions, not ours. We tell you if the CRO queries or rejects a filing. If a rejection was our fault, we correct and refile at no cost. If it was because of your information, we refile once you correct it and may charge any extra official fee and a fair fee for our work, which we tell you first.

7.3 After incorporation, the company must register its beneficial owners with the Register of Beneficial Ownership, register with Revenue, and file annual returns on time. Unless you buy a service that covers these, they remain the company's responsibility.

8. Anti-money laundering checks

8.1 Under the Criminal Justice (Money Laundering and Terrorist Financing) Act 2010 we must identify and verify our customers, the company's directors and its beneficial owners, and keep monitoring the relationship. We may ask for identity documents, proof of address and information about the business and source of funds.

8.2 We may not start, or may pause or stop, a service if you do not give us what we ask for, if we cannot complete our checks, or if the law requires us to. The law may prevent us from telling you why, or that we have made a report to the authorities. We are not liable for loss caused by our doing what the law requires.

8.3 If we stop for these reasons, we refund what you paid for work not yet done, unless the law prevents it.

8.4 We must keep our due diligence records for at least 5 years after our relationship ends, even if you ask us to delete your account.

9. Registered office, secretary, nominee director and bond

9.1 Registered office. You may use our address only as the registered office of the company named in your order, not as a trading or residential address. We scan statutory and official post to you. We may refuse items that look dangerous, illegal or outside the service.

9.2 Company secretary. We act as secretary and keep the company's statutory registers from the information you give us. You must tell us promptly about every change to the company's officers, shares and beneficial owners.

9.3 Nominee director. Our nominee director is a real director with full legal duties to the company. They act honestly and in good faith, use their own judgement, and will not sign anything they reasonably believe is false, unlawful or not in the company's interests. They take no part in running the business unless agreed in writing. You must keep them informed about the company's affairs and give them access to its books. You agree to cover any fine, cost or liability they incur as a director because of the company's or your actions, except where it results from their own fraud, dishonesty or deliberate wrongdoing. A nominee director may resign by giving you at least 30 days' notice, or sooner if the law or our checks require it. If they resign or the service ends, the company must appoint an EEA-resident director or take out a Section 137 bond straight away.

9.4 Section 137 bond. The bond is provided by an insurer, not by us. We pass your application to the insurer, and the insurer's own terms apply to the bond. It lasts for the term stated in the policy and must be renewed if the company still needs it.

9.5 When an annual service ends, the company must file the change with the CRO straight away (for example Form B2 for a new registered office or Form B10 for a new director or secretary). We can do this for you for a fee. If the company keeps showing our address or our officers after the service ends, we may file our resignation or tell the CRO, and the company may become non-compliant. Post that arrives after the service ends may be returned to the sender.

10. Annual services and renewal

10.1 An annual service lasts for a year from the date it starts. It does not renew automatically and we never charge you automatically.

10.2 We email you before the year ends with the renewal price and how to renew. You renew by paying for the next year. If you do not, the service ends at the end of the year and clause 9.5 applies.

10.3 You can stop an annual service at any time by telling us. Unless you are within your cancellation period (clause 11), you keep the service until the end of the year you paid for and we do not refund the rest of the year.

11. Your right to cancel (consumers)

11.1 If you are a consumer, the Consumer Rights Act 2022 gives you 14 days from the day the contract is formed to cancel a contract made online, without giving a reason.

11.2 Most of our services are done well within 14 days. When you order, we ask you to request expressly that we start straight away and to acknowledge that you lose your right to cancel once we have fully performed the service. We do not start within the 14 days unless you make that request.

11.3 If you made that request:

  • you cannot cancel a service once it is fully performed. A formation is fully performed when the CRO has registered the company and we have sent you its documents; a filing is fully performed when the CRO has registered it;
  • if you cancel before then, we refund the price less a proportionate amount for what we have done up to the time you told us. That amount includes any CRO or other official fee we have already paid for you and cannot recover. Once we have filed a document, we cannot usually withdraw it;
  • for an annual service, we refund the price less a proportionate amount for the time you had it.

11.4 To cancel, tell us by email or any other clear statement. You can use the form at the end of these terms, but you do not have to. We refund you within 14 days of the day you tell us, to the payment method you used, at no charge.

12. Cancellation by business customers

If you are a business customer, you have no statutory right to cancel. You may cancel before we start work and we will refund you. After we start, we refund the price less a fair amount for the work done and any official fee we cannot recover.

13. Our responsibilities

13.1 We provide our services with reasonable care and skill, within a reasonable time and as described.

13.2 If you are a consumer and we fall short, you have rights under the Consumer Rights Act 2022: you can ask us to put it right, and if we cannot do so within a reasonable time and without significant inconvenience, you may be entitled to a price reduction or to end the contract and get money back.

13.3 We are not responsible for delays or failures caused by incomplete, wrong or late information from you, by you not completing our checks, by the CRO, Revenue, banks, insurers or other third parties, or by events outside our reasonable control, such as an outage of CORE. If such an event causes a long delay, you can end the contract and get back what you paid for anything not yet done.

14. Our liability

14.1 Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit, including your statutory rights as a consumer.

14.2 If you are a consumer, we are responsible for loss you suffer that is a foreseeable result of our breaking these terms or not using reasonable care and skill. We are not responsible for loss that was not foreseeable, or for loss caused by information you gave us that was wrong or incomplete. The company we form is a separate legal person, and we are not responsible to you for losses the company suffers in its business, such as lost profits, unless the law says otherwise.

14.3 If you are a business customer, we are not liable for loss of profit, revenue, business, contracts, goodwill or anticipated savings, or for indirect or consequential loss, and our total liability to you in connection with a contract, whether in contract, tort (including negligence) or otherwise, is limited to the fees you paid us for the service concerned in the 12 months before the claim arose (excluding official fees).

15. Suspending or ending a service

We may suspend or end a service by written notice if you do not pay, if you seriously or repeatedly break these terms, if clause 8 applies, or if the law or an authority requires it. Where it is reasonable and lawful, we will warn you first and give you a chance to put things right. If we end a service for a reason that is not your fault, we refund what you paid for the part not provided.

16. Your personal data

We use personal data as our privacy notice explains, and cookies as our cookie policy explains.

17. Complaints

If you are unhappy, please follow our complaints procedure.

18. Changes to these terms

We may update these terms, for example when the law or our services change. The version on our website when you ordered applies to that order. For an annual service, any change applies from the next renewal, and we will tell you about it in the renewal email.

19. Other terms

19.1 We may transfer our rights and obligations to another organisation, and will tell you if we do. Your rights will not be reduced. You may transfer yours only with our written agreement.

19.2 If a court finds part of these terms unenforceable, the rest still applies. If we delay enforcing a term, we can still enforce it later.

19.3 If you are a business customer, these terms and your order confirmation are our entire agreement about their subject.

20. Law and courts

20.1 These terms are governed by Irish law.

20.2 If you are a consumer, you can bring proceedings in the Irish courts. If you live in another EU country, you can also bring proceedings in the courts of the country where you live, and you keep the mandatory consumer protections of that country.

20.3 If you are a business customer, the Irish courts have exclusive jurisdiction.
