LTD

Private company limited by shares

Ireland’s standard company, and the right choice for most businesses. Simple to run, with a one-document constitution.

The company most people form

An LTD is owned by its shareholders, whose liability is limited to what they paid, or agreed to pay, for their shares. It has a one-document constitution and full capacity, so it needs no objects clause: it can carry on any lawful business.

Directors and secretary

An LTD can have a single director. Every company needs a secretary. If a company has a single director, the secretary must be someone else, and a company can act as secretary.

At least one director of an Irish company must live in the European Economic Area. The test is where they live, not their nationality, and a director living in the UK no longer counts.

The name

The name ends in “Limited” or “Ltd”, or the Irish “Teoranta” or “Teo.”. The CRO refuses names that are identical or too similar to a registered name, that are offensive, or that suggest State sponsorship. Some words, such as “university”, “society” or “co-operative”, need consent from a named body first, and banking and insurance words need Central Bank approval.
