LTD, DAC or CLG: choosing your company type

How the three most common Irish company types differ, and which suits what you are building.

Start with the LTD

The private company limited by shares is the default for a reason: one-document constitution, no objects clause, and a single director allowed. Unless you have a specific reason to choose another type, it is the right one.

When a DAC makes sense

Choose a DAC when the company’s activities should be written into its constitution: regulated businesses, financing vehicles, and subsidiaries whose parent wants a defined scope. It needs at least two directors.

When a CLG makes sense

Choose a CLG for a charity, club or not-for-profit. Members guarantee a set amount instead of holding shares. It needs at least two directors.

A company formed for charitable purposes also needs to register with the Charities Regulator before it operates as a charity.
